The National Board is the governing body of ITP and is responsible for the overall governance and direction of the organisation. The Board is made up of an Executive including the President, Deputy President, and Chief Executive (non-voting), plus six membership-elected Board members. 

The membership elects the National Board, with at least one Board Member coming from the Northern, Central, and Southern regions. Board members serve for a 2-year term.

ITP National Board - Frequently Asked Questions (FAQ) 

  • he ITP National Board is the governing body responsible for the strategic direction, operational oversight, and compliance of IT Professionals New Zealand (ITP). It ensures the organisation achieves its mission to advance the IT profession and uphold digital equity in Aotearoa New Zealand (ITP bylaws) (ITP Constitution). 

  • The Board’s responsibilities include: 

    • Establishing and guiding the organisation’s strategic direction. 

    • Overseeing governance and compliance with ITP's Constitution, Bylaws, and applicable laws, including the Incorporated Societies Act 2022. 

    • Supporting the CEO and operational management. 

    • Representing members’ interests and advocating for the IT profession. 

    • Promoting high ethical standards and managing conflicts of interest 

  • Board members must be professional members of ITP (Full Member or Fellow grade) and are elected by ITP’s membership. Key roles include the President, Deputy President, and Board Members, as defined in the Constitution and Bylaws 

  • Board members are expected to: 

    • Attend monthly meetings and committee sessions as required. 

    • Participate in discussions and decision-making via email or other communication platforms. 

    • Prepare for meetings by reviewing relevant materials. 

    • Represent ITP at industry events and initiatives 

    This means a time commitment of 2-4 hours per month.  

  • ITP recognises the voluntary service of Board members through the following entitlements: 

    1. Complimentary Membership: Free ITP membership for active Board members, including access to events, resources, and networking opportunities. 

    1. Governance Training & Professional Development: Annual reimbursement of up to $750 for governance-related training or professional memberships, such as the Institute of Directors. 

    1. Expense Reimbursement: Coverage for reasonable out-of-pocket expenses incurred for Board-related activities, subject to prior approval. 

    1. Insurance Coverage: Directors’ and Officers’ (D&O) liability insurance for all Board members. 

    1. Honorariums: The President receives $8,000 annually, and the Deputy President $4,000, in recognition of additional responsibilities 

     

  • Board members must: 

    • Uphold the ITP Code of Ethics. 

    • Act with integrity and transparency in all Board-related matters. 

    • Declare and manage conflicts of interest, with the Secretary maintaining an Interests Register 

  • The Board provides strategic guidance and oversight to the CEO, ensuring alignment with ITP’s goals. Members may also support the CEO through participation in strategic or operational committees.  

    The ITP Exec – President, Deputy and the CEO – are the primary operational vehicle for the board to interact with the CEO.  

     

  • As a member of the ITP board you can be involved in: 

    • Practical governance experience. 

    • Financial support for governance training and professional memberships. 

    • Opportunities to contribute to industry leadership through ITP events and publications, speaking opportunities and contributions to other media 

  • Board members are elected by ITP members through a transparent voting process. Elections are held as terms expire, in accordance with the Constitution and Bylaws. 

  • The Board adheres to ITP’s Constitution, Bylaws, and policies. It reviews and updates its governance framework periodically to remain compliant with legislation and industry standards.

  • If a Board member resigns or is removed before completing their term: 

    • Entitlements, including membership and honorariums, are prorated. 

    • The Board may fill the vacancy following established procedures
